1. DEFINITIONS & INTERPRETATION

1.1 Definitions:

  • "Platform" or "Website": www.myzoan.in and related mobile applications
  • "Zoan", "we", "us", "our": Zoan, a Partnership Firm registered under the Indian Partnership Act, 1932
  • "Partners": Individuals who are partners of Zoan Partnership Firm
  • "Seller" or "Breeder": Independent third-party pet breeders registered on the Platform
  • "Buyer" or "User" or "You": Any individual accessing or using the Platform
  • "Pet": Any live animal listed for sale on the Platform
  • "Services": Marketplace facilitation services provided by Zoan
  • "Terms": These Terms and Conditions

1.2 Interpretation:

  • References to "Indian law" include all applicable Central and State legislation
  • Headings are for reference only and do not affect interpretation
  • Singular includes plural and vice versa

2. ABOUT THE PLATFORM – PARTNERSHIP FIRM

2.1 Legal Entity Details

  • Registered under: Indian Partnership Act, 1932
  • Principal Place of Business: Globe Gents, Pipeline, Thrikkakara, Kochi, Kerala – 682020

2.2 Partners

  • Partner 1: Ashik U
  • Partner 2: Hiran Joel B
  • Partner 3: Nikhil S
  • Partner 4: Roshan S
  • Partner 5: Anoop C Devaraj
  • Partner 6: Melvin Aji

Joint and Several Liability: All business obligations, liabilities, rights, and responsibilities arising from these Terms are attributable to the partners of Zoan jointly and severally under Sections 18 and 25 of the Indian Partnership Act, 1932.

3. NATURE OF THE PLATFORM – MARKETPLACE FACILITATOR

3.1 Marketplace Model

  • Zoan operates as an online marketplace facilitator connecting breeders with buyers.
  • Zoan is NOT: Pet breeder, owner of listed pets, agent of breeders, or pure IT intermediary.
  • Zoan IS: Marketplace facilitator under the Consumer Protection Act, 2019; platform enabling transactions; payment processor; provider of logistical support.

3.2 Contractual Relationships

  • Sale contracts are directly between Buyer and Seller.
  • Zoan facilitates transactions, collects/holds payment, coordinates delivery, provides customer support, mediates disputes, and ensures compliance.

3.3 What Zoan Does NOT Guarantee

  • Breed purity, health, lineage claims
  • Health, temperament, or characteristics beyond Refund Policy
  • Accuracy of third-party documentation
  • Breeder's operational activities
  • Fraud undetectable despite reasonable due diligence

3.4 What Zoan DOES Guarantee

  • Verify breeder credentials
  • Maintain minimum listing standards
  • Monitor breeder compliance
  • Investigate complaints
  • Hold payments until delivery confirmation
  • Remove non-compliant breeders
  • Facilitate refunds as per Refund Policy

4. ELIGIBILITY

4.1 Age & Legal Capacity

  • Must be 18+ and legally competent to contract.
  • Users 18–21 under parental guardianship must obtain consent.

4.2 Restricted Users

  • Persons convicted under PCA Act, 1960
  • Persons banned from owning animals
  • Users involved in illegal breeding or trafficking
  • Users providing false identity or documents

4.3 Verification

  • Zoan may request identity and address verification
  • Service refusal if verification unsatisfactory

5. ACCOUNT REGISTRATION

5.1 Account Creation

  • Provide accurate, complete, and updated information
  • Maintain confidentiality of credentials
  • Responsible for all activities under account

5.2 Account Security

  • Responsible for strong passwords and account protection
  • Zoan not liable for unauthorized access due to negligence

5.3 Account Termination

  • User may terminate account via written request
  • Zoan may terminate or suspend for violations, fraud, false info, or inactivity

6. SELLER (BREEDER) OBLIGATIONS & VERIFICATION

6.1 Mandatory Breeder Requirements

  • Legal Compliance: Licenses, AWBI guidelines, PCA Act, Transport of Animals Rules
  • Documentation: Vaccination records, health certificates, microchip, pedigree
  • Ethical Standards: No inbreeding, proper care, accurate info
  • Listing Quality: Clear photos, truthful descriptions, reasonable pricing

6.2 Breeder Verification Process

Identity, license, address, references, sample listings, compliance audits

6.3 Breeder Suspension & Removal

For false documentation, cruelty, repeated complaints, non-compliance

Suspension notice, response opportunity, investigation, decision, appeal

6.4 Seller Payments

  • Payments held until delivery confirmation and health guarantee
  • Commission and TDS deductions apply
  • Payment via verified bank account

7. BUYER RESPONSIBILITIES & ACKNOWLEDGMENTS

7.1 Pre-Purchase Due Diligence

  • Review listing, breeder ratings, credentials, ask questions
  • Understand breed characteristics, care, costs, and regulations

7.2 Post-Purchase Responsibilities

  • Immediate inspection: Check pet condition and documentation
  • Veterinary examination within 48 hours: Required for refund claims
  • Proper care: Provide food, shelter, medical care
  • Registration & compliance: Follow municipal/animal welfare laws

7.3 Buyer Acknowledgments

  • Pets are living beings; variations exist
  • No instant bond; health risks possible
  • Behavioral variations expected
  • Pet ownership is long-term; costs ongoing
  • Contract is with Seller; Zoan has facilitator obligations

8. PAYMENTS & TRANSACTIONS

8.1 Payment Collection

  • Cards, net banking, UPI, digital wallets
  • Third-party payment gateways only
  • Payment confirmation triggers order

8.2 Payment Structure

Pet cost, shipping, insurance, taxes included

8.3 Payment Collection Role

Zoan collects on behalf of Seller; does NOT become seller

8.4 Tax Invoices

8.5 Payment Authorization

User authorizes fund processing and deductions

8.6 Failed/Declined Transactions

Notified immediately; may retry

9. PRICING & OFFERS

  • Prices in INR
  • Set by breeders; Zoan does not control pricing
  • Price at order confirmation applies
  • Offers subject to terms; single code per order

10. DELIVERY, LOGISTICS & ANIMAL WELFARE

  • Delivery by breeder or verified logistics partners
  • Highway pickup may be required
  • Animal welfare standards followed during transport
  • Prohibited transport practices strictly enforced

11. REFUNDS, CANCELLATIONS & RETURNS

  • Refer to detailed Refund & Cancellation Policy
  • Buyer cancellation before dispatch allowed
  • Post-delivery refunds for undisclosed disease, misrepresentation, or wrong pet only
  • No refunds for change of mind or subjective dissatisfaction

12. ZERO-TOLERANCE POLICY – ANIMAL WELFARE

  • No cruelty, unethical breeding, misrepresentation, or illegal activity
  • Reporting mechanism: Email, phone, WhatsApp
  • Investigation within 48 hours; actions within 7–15 days
  • Full cooperation with authorities

13. USER-GENERATED CONTENT (UGC)

  • Breeders responsible for listing accuracy
  • Buyers post honest reviews
  • Zoan may moderate/remove prohibited content
  • Intellectual property rights retained by users; license granted to Zoan for display
  • DMCA procedure for copyright infringement

14. PRIVACY & DATA PROTECTION

  • Collects personal data, ID, payment, browsing info
  • Used for orders, support, fraud prevention, marketing
  • Shared only with breeders, logistics, payment gateways, authorities
  • Rights under DPDP Act, 2023
  • Data security implemented; cookies used

15. INTELLECTUAL PROPERTY RIGHTS

  • Zoan owns platform IP; limited user license granted
  • Breeders own their content; Zoan may display
  • Trademark infringement complaints addressed

16. LIMITATION OF LIABILITY

  • Platform provided "AS IS"
  • Liability capped at transaction value
  • No liability for indirect/consequential damages
  • Exceptions: Fraud, gross negligence, statutory liabilities
  • Breeder responsible for listings and pet health
  • Force majeure suspends obligations
